GeoPatient CPA LEAD VALIDATION POLICY

This policy is effective for all current Advertisers of GeoPatient and utilizes terms defined in GeoPatient’s current Advertiser Master Services Agreement.
In order to be considered a valid Lead, each Lead must (1) contain the required fields listed in the relevant insertion order AND (2) the data in each field must have Field Validity (as defined below):
Field Validity. In order to have Field Validity, the Required Fields for the Lead must NOT contain the following types of data:
a. Unintelligible Name and Address Data: names and addresses of the person specified which is unintelligible or nonsensical, including, but not limited to random strings of letters, numbers or characters in the place of legitimate names and mail addresses of a person.
b. Invalid Phone Numbers: phone numbers with area codes and prefixes reserved for:
i. public use; or
ii. phone company use; or
iii. area codes and prefixes that are not possible for the public to obtain.
By way of example, Leads containing the following phone numbers would be deemed invalid: 911 in the area code or prefix; 212-555-1212; 999-999-9999.
c. Invalid Email Address: are email addresses:
i. with invalid top level internet domains (by way of example, valid top level domains include ".com," ".net," ".org," and ".edu";) or
ii. that are not formatted in the following manner (e.g. xxxx@yyyy.zzz).
d. Formatted as a Test Lead: Any Lead containing:
i. a name or email address with the word "test"; or
ii. an email address containing the internet domain of Advertiser of one of its related companies.
e. Non-U.S. Citizen: Any information indicating the consumer is a non-U.S. citizen;
f. Other Field Verification (aka "scrubbing"): data that is on its’ face suspect, incomplete or non-conforming to requirements of the Insertion Order (e.g. nine digit phone numbers, phone numbers which contain the same digit in sequence more than four times, international IP addresses).
So long as a Lead does not contain information of the kind described in this section, GeoPatient will deem such Lead to have Field Validity. Leads lacking Field Validity are deemed invalid Leads and will be rejected by GeoPatient for billing purposes.
GeoPatient CPA LEAD REVERSAL POLICY

GeoPatient, a division of GeoPatient LLC ("GeoPatient") and its advertisers ("Clients") are parties to one or more advertising agreements ("Agreements") pursuant to which GeoPatient delivers to Client consumer CPA leads ("Leads") generated from websites or other properties maintained by GeoPatient and/or publishers ("Publishers") within GeoPatient’s advertising network. This is our policy regarding Lead reversals.
Notwithstanding anything to the contrary in the Agreements, GeoPatient will not allow any reversal (whether by return, refund, credit or otherwise) for any Leads delivered to Client, other than in the following circumstances:
1. GeoPatient delivers Leads that are not the result of bona fide consumer inquiry due to intentional, fraudulent action by the Publisher. Without limitation, Leads where consumers merely provide false information will not be eligible for reversal.
2. Due to technical error, GeoPatient delivers to Client copies of the same exact Lead within a campaign where GeoPatient hosts the webpage used by consumers to fill out such Leads. Without limitation, Leads resulting from a consumer completing multiple forms will not be eligible for reversal.
In all cases, GeoPatient must find clear, objective evidence to substantiate the reason for reversal, and GeoPatient 's good faith determination will be final.
The Agreements (and the applicable Insertion Orders) is amended immediately by the express terms of this letter. No other term of the Agreements (and/or of the applicable Insertion Orders) is amended hereby. This letter and the Agreements (and the applicable Insertion Orders), as may be heretofore amended, constitute the entire agreement of the parties on the specific subject matter hereof and supersede all prior representations, understandings and agreements between the parties with respect to such subject matter. In the event of any inconsistency or conflict between the Agreements (and/or the applicable Insertion Orders) and this letter regarding the subject matter of this letter, this letter shall control.
